- Section 10A of the Securities Exchange Act of 1934 requires auditors to inform a public company’s board of directors of illegal acts that materially affect the organization’s financials when those acts are not being remediated timely and appropriately. The board then has 24 hours to notify the U.S. Securities and Exchange Commission. Then what? Boards will engage independent external parties to conduct an investigation and the auditor may delay issuing an opinion until the matter is resolved. This discussion will breakdown 10A investigations by leveraging a case study and examining the perspectives of the board, the auditor and the independent investigator.
